The Italian recent Constitutional amendments (artt.9 and 41) represent an implementation of the UN Sustainable Development Agenda in the European framework. The package of measures adopted by the EU in this context, outlines the importance of sustainable finance strategy, aimed at financing the transition towards a sustainable economy. A tool to enable the pursuit of this transition is Green Bond. The EU Commission launched a taxonomy proposal aimed at creating Green Bonds quality standards and certifications, because the existing industry standards are still based on definitions of green projects that are not sufficiently uniform, rigorous or comprehensive. The adoption of uniform universal standards for the definition of green projects could also contribute to stop “greenwashing”(the practice of falsely attributing green qualities to an investment which in reality does not possess them). For example a recent Italian decision (Alcantara vs Miko) stated that the rules for communication on sustainability are different from those on traditional advertising because sustainability should be real and not a façade. This study examines the possibility of a uniform adoption of standards at EU level and compares the European Green Bond standards with other similar initiatives.

Nel Piano di azione per finanziare la crescita sostenibile della Commissione Europea, si affida alla finanza sostenibile la missione di consolidare la stabilità finanziaria attraverso l’integrazione dei fattori ambientali, sociali e di governance (ESG) nel processo decisionale relativo agli investimenti. In tale prospettiva si colloca l’intervento del legislatore europeo sugli obblighi informativi e sulle regole di comportamento che la disciplina di derivazione MiFID II pone a carico degli intermediari nella prestazione dei servizi di investimento, segnatamente di consulenza e gestione patrimoniale. Il presente saggio contiene un’analisi critica dei provvedimenti europei (di modifica e/o integrazione) che hanno un impatto diretto (Regolamenti della Commissione Europea contenuti nel Sustainable finance package del 21 aprile 2021) e indiretto (Sustainability- Related Disclosures in the financial sector Regulation e Taxonomy Regulation) su tale disciplina. L’analisi mette in luce che l’attribuzione a regole tradizionalmente usate per la protezione dell’investitore in strumenti finanziari del ruolo nuovo e aggiuntivo di componente determinante della policy europea sulla finanza sostenibile potrebbe mettere in pericolo la finalità originaria. L’adozione per gli strumenti finanziari sostenibili del modello di distribuzione orientato al prodotto potrebbe, infatti, minare l’obbligo degli intermediari finanziari di agire nel migliore interesse del cliente. ; In the European Commission’s Strategy for financing the Transition to a Sustainable Economy, sustainable finance is assigned a fundamental task: strengthening financial stability by incorporating environmental, social and governance (ESG) factors into the investment decision-making process.
